China Company Registration Guide for Overseas Businesses

Entering China opens doors to one of the world’s largest and fastest-growing markets — but also strict regulations and procedural bottlenecks. Many overseas companies underestimate the paperwork involved — from choosing the right Chinese name to verifying your legal representative. Step 1. Company Registration & Business Name Approval

In China, your business scope must be clearly defined at the time of registration. The scope (consulting, education, trading, manufacturing, etc.) determines which licences you need and what activities you can legally conduct.
You’ll also need a compliant Chinese company name. Certain words such as 'China', 'International', or 'Group' are restricted and require additional approval. Choosing the wrong name or scope is one of the main reasons applications get rejected.

Step 2. Legal Representative Identity Verification

China requires the company’s legal representative (法人) to complete real-name verification: obtaining a Chinese mobile number, binding to WeChat, and passing face-recognition or video verification on official government apps.
For overseas-based representatives, this step can be a major bottleneck. Without successful verification, registration cannot proceed.

Step 3. Tax Registration & Invoice (Fapiao) System

Once registered, every company must complete tax bureau registration and obtain a taxpayer identification number (TIN). Depending on your size, you’ll register as either a Small-Scale Taxpayer (3 % VAT) or a General Taxpayer (6–13 % VAT).

Key tasks include:

  1. Activating the e-Business Licence
  2. Applying for electronic invoice (fapiao) issuance
  3. Binding your company account to official Tax Apps for monthly filings

Mistakes here can lead to penalties or an inability to issue legal invoices — directly impacting your operations.

Step 4. Bank Account Opening

All foreign-invested enterprises must open at least one RMB basic account and often a foreign-exchange settlement account for cross-border transactions. Chinese banks conduct rigorous KYC (Know Your Customer) checks, typically requiring 1) Business licence & company seals, 2) Shareholder passports & incorporation documents, 3) Office lease agreements, and 4) Legal representative’s in-person appearance.

Step 5. Office Address & Employment Compliance

To register, you must have a valid registered office address — either a physical lease or, in some zones, a government-approved virtual office.
All employees hired must also comply fully with Chinese labour laws, including signed contracts and contributions to social security and housing funds (五险一金). Non-compliance exposes companies to fines and reputational risks.
